Music License Agreement

This Agreement governs the rights to use music provided by the $CITYPOP platform. By listening to, using, or interacting with the music, you agree to these terms.

Section 1: Definitions

• "The Music" refers to any and all original audio compositions and recordings streamed by $CITYPOP.
• "The Livestream" refers to the official, publicly accessible audio stream located on the $CITYPOP platform's designated web page.
• "The Token" refers to the official cryptographic token, $CITYPOP, associated with the platform.
• "Token Holder" refers to any individual or entity holding any quantity of The Token in a verifiable cryptographic wallet.
• "Off-Platform Use" refers to any use of The Music outside of listening to The Livestream on its official page.

Section 2: Public Listening License

A non-exclusive, worldwide, royalty-free license is granted to the general public for the following purposes:

• To listen to The Music solely through The Livestream.
• To broadcast, share, or embed The Livestream player, provided it links directly to the official $CITYPOP platform and is not restreamed or re-uploaded through third-party services.

This public license does not grant any rights to reuse, modify, or create derivative works from The Music.

Section 3: Extended License for Token Holders

An extended, non-exclusive, worldwide, royalty-free license for Off-Platform Use (including the right to reproduce, create derivative works, distribute, and perform) is granted to all Token Holders. The specific terms of this license are as follows:

• Standard License: For the majority of The Music, ownership of any quantity of The Token is sufficient to qualify for the license, with no minimum holding amount required.
• Conditional Licenses for Special Releases: Certain compositions designated as Special Releases may be subject to stricter conditions. These licenses will be granted only to holders who meet specific criteria, such as a minimum token quantity or a required holding period (long-term holder status). All such conditions will be explicitly detailed for the applicable music.
• Exclusivity of Potential NFT Music: The introduction of NFT Music is a potential future development, contingent on community growth, response, and feedback. If implemented, music distributed as an NFT will be considered a separate asset, and its rights will be governed exclusively by the terms of that specific NFT, not by this general streaming agreement.

Section 4: Proof of License for Off-Platform Use

At any point where The Music (in its original or modified form) is used by a Token Holder for Off-Platform Use, the user must be able to verifiably prove their eligibility and ownership of The Token.

Proof of ownership may be requested and can be demonstrated through a cryptographic challenge-response mechanism, such as sending a pre-determined, arbitrary amount of a specified cryptocurrency from the wallet holding The Token to a designated verification address, or by signing a digital message.

Failure to provide proof of token ownership that satisfies the license requirements upon request may result in a termination of the extended license rights for the user.

Section 5: General Provisions

The Music is provided "as-is" without warranty of any kind. $CITYPOP is not liable for any damages arising from the use of The Music. This license is effective for as long as the user meets the required conditions of token ownership. $CITYPOP reserves the right to modify the terms of this agreement at any time.
